This action stems from a proposed transaction announced on September 24, 2024, pursuant to which Smartsheet, Inc. will merge into affiliates of Blackstone Inc., Vista Equity Partners Management, LLC, and Platinum Falcon B 2018 RSC Limited. This class action was filed against Smartsheet and ten of its Directors.

On November 4, 2024, Defendants authorized the filing of a proxy statement with the United States Securities and Exchange Commission in connection with the Proposed Transaction. The Complaint alleges that the Proxy Statement omits material information with respect to the Proposed Transaction, which renders the Proxy Statement false and misleading.

Plaintiff voluntarily dismissed this case on April 16, 2025.
