This action stems from a proposed transaction announced on October 23, 2023, pursuant to which EngageSmart, Inc. would be acquired by Vista Equity Partners Management, LLC and its affiliates. This class action is filed against EngageSmart, several of its Officers and Directors, Vista Equity Partners Management, LLC and its affiliates, and General Atlantic, L.P, EngageSmart's controlling stockholder.

On December 19, 2023, Defendants filed a proxy statement with the United States Securities and Exchange Commission in connection with the Proposed Transaction. The Complaint alleges that the Proxy Statement omitted material information with respect to the Proposed Transaction, rendering the Proxy Statement false and misleading. The Complaint further alleges that the EngageSmart Defendants knowingly allowed the EngageSmart Board and General Atlantic to direct the sales process away from strategic acquirors, to ensure that General Atlantic and Vista would complete the Merger and ensure that the conflicted Board Defendants, through their interests in General Atlantic, would receive benefits from the Merger.

On September 30, 2024, the Court granted Plaintiff's request to seal the Complaint. Plaintiff filed a redacted version of the Complaint on October 5.

On February 12, 2025, the Court issued an Order appointing Lead Plaintiff and Counsel. Lead Plaintiff filed a Consolidated Complaint under seal on April 15, 2025. On April 22, Lead Plaintiff filed a redacted version of the Consolidated Complaint.
