According to the Complaint, Orthofix Medical Inc. is a global spine and orthopedics company that offers biologics, spinal hardware, bone growth therapies, and specialized orthopedic solutions, among other things, to healthcare professionals throughout the world.

On October 11, 2022, Orthofix and SeaSpine, a global medical technology company focused on surgical solutions for the treatment of spinal disorders, announced that they entered into a definitive agreement to combine in an all-stock merger of equals. Upon completion of the merger, several of SeaSpine's officers would serve as officers in the combined company.

On January 4, 2023, Orthofix and SeaSpine announced the successful completion of the Merger.

The Complaint alleges that throughout the Class Period, Defendants issued false and misleading statements and/or failed to disclose adverse facts about the Company’s management team. The Complaint further alleges that when the truth about the Company’s management team was revealed, the price of Orthofix common stock suffered sharp declines and that as a result, Plaintiff and other Class members suffered significant losses and damages.

On December 10, 2024, the Court issued an Order consolidating cases. All future docketing was ordered to be done in the lead case 24-CV-00690.

On January 3, 2025, the Court issued an Order appointing Lead Plaintiff and Counsel. Lead Plaintiff filed an Amended Consolidated Complaint on April 17.
