Plaintiff brings this action against Late Stage Asset Management, LLC and other Defendants, alleging that Defendants operated a network of unregistered sales agents who fraudulently offered and sold purportedly “no-fee” unregistered securities to retail investors through various investment funds consisting of equity interests in private companies (“Pre-IPO shares”).

In exchange for their investments, investors received securities: interests in a subsection (called a “Series”) of one of Late Stage’s many private investment funds. Each of the Series invested in various Pre-IPO shares of the Pre-IPO Companies.

Plaintiff seeks to recover damages resulting from the Defendants’ alleged violations of the Exchange Act and seeks rescission and/or damages for the allegedly illegal securities offerings.

On May 28, 2025, the Court issued an Order appointing Lead Plaintiff and Counsel.
