According to the Complaint, Viatris Inc. is a global healthcare corporation. Viatris was formed on November 16, 2020 through a combination of Mylan N.V. and Pfizer Inc.’s Upjohn Business.

The Complaint alleges that during the Class Period, Viatris made materially false and/or misleading statements and/or failed to disclose that: i) the Company was experiencing significantly more competition in its United States complex generics business than disclosed; (ii) the Company was not able to effectively manage its base business erosion or create a stable revenue base; (iii) despite being on the Company's only growth drivers, Viatris was actively planning to divest its biosimilars business in order to secure enough cash to let it purportedly meet its phase one goals; (iv) Viatris was deviating from the business model it touted throughout the Class Period and undertaking a significant global reshaping of its business which would undermine its ability to achieve stable revenue growth; and (v) the Company was anticipating less financial growth moving into 2022.

On August 28, 2023, the Court issued an Order consolidating cases and appointing Lead Plaintiff and Counsel. All future docketing was ordered to be done in the lead case 23-CV-00812. Lead Plaintiff filed a consolidated Complaint on October 23. Defendants filed a Motion to Dismiss the consolidated Complaint on December 22.

On September 20, 2024, the Court issued an Order granting Defendants' Motion to Dismiss. Plaintiff was not given leave to amend the Complaint.

Lead Plaintiff filed a notice appealing the Court's Dismissal Order on October 21, 2024.
