According to the Complaint, Dentsply Sirona Inc. is a dental supply company that produces a wide range of products including artificial teeth, anesthetics, and plaque and gum disease prevention products. The majority of Dentsply’s products are sold through third-party distributors.

The Complaint alleges that, throughout the Class Period, Defendants orchestrated a scheme to inflate the Company’s revenue and earnings by manipulating its accounting for a distributor rebate program in order for senior executives to be eligible for significant cash and stock-based incentive compensation, and that in order to facilitate this scheme, Dentsply and its executives made numerous false and misleading statements to investors during the Class Period.

On March 27, 2023, this case was transferred to the Southern District of New York.

On June 1, 2023, the Court issued an Order consolidating cases and appointing Lead Plaintiff and Counsel. All future docketing was ordered to be done in the lead case 22-CV-06339.

Lead Plaintiff filed an amended Complaint on August 1, 2023. Defendants filed a Motion to Dismiss the amended Complaint on October 10. On May 1, 2024, the Court issued an Order granting in part and denying in part Defendants' Motion to Dismiss.

Lead Plaintiff filed a Motion for Class Certification on November 15, 2024. On July 10, 2025, the Court issued an Order granting Lead Plaintiff's Motion for Class Certification.
