According to the Complaint, J2 Global, Inc, through its subsidiaries, purports to provide Internet services worldwide. The Company operates through three segments: Fax and Martech; Voice, Backup, Security, and Consumer Privacy and Protection; and Digital Media.

The Complaint alleges Defendants made false and/or misleading statements and/or failed to disclose that: (1) J2 Global engaged in undisclosed related party transactions; (2) J2 Global used misleading accounting to hide requisite impairments and underperformance in acquisitions; (3) several so-called independent members of the Company’ board of directors and audit committee were not disinterested; and (4) as a result, Defendants’ public statements were materially false and/or misleading at all relevant times.

On October 13, 2020, the Court granted a motion for appointment as Lead Plaintiff and approved the selection of Lead Counsel. Lead Plaintiff filed a consolidated Complaint on November 19. Defendants filed a Motion to Dismiss the consolidated Complaint on December 17. On March 5, 2021, the Court issued an Order granting Defendants' Motion to Dismiss. Plaintiff was given leave to amend the Complaint.

On April 19, 2021, Lead Plaintiff filed a second consolidated Complaint. Defendants filed a Motion to Dismiss the second consolidated Complaint on May 20. On August 8, 2022, the Court issued an Order granting Defendants' Motion to Dismiss. The case was dismissed with prejudice. Final Judgment was entered with prejudice against the Lead Plaintiff and in favor of the Defendants on August 31.

Lead Plaintiff filed a notice appealing the Judgment of the Court on September 7, 2022.
