According to the Complaint, Ribbon Communications Inc. delivers software solutions that secure and power many of the world’s leading service provider and enterprise communications environments.

On November 14, 2019, Ribbon Communications Inc.’s Board of Directors caused Ribbon to enter into an agreement and plan of merger with Eclipse Communications Ltd.

On January 10, 2020, Defendants filed a proxy statement with the United States Securities and Exchange Commission, which recommends that Ribbon’s stockholders vote to approve the Proposed Transaction at a special meeting scheduled for January 27, 2020. The Complaint alleges that the Proxy Statement omits material information with respect to the Proposed Transaction, which renders the Proxy Statement false and misleading.

This case was voluntarily dismissed on February 3, 2020.
