According to the Complaint, Forescout Technologies, Inc. provides network security products in the Americas, Europe, the Middle East, Africa, the Asia Pacific, and Japan, selling its products and services through distributors and resellers.

The Complaint alleges that throughout the Class Period, Defendants made materially false and misleading statements regarding the Company’s business and operational and compliance policies. Specifically, the Complaint alleges Defendants made false and/or misleading statements and/or failed to disclose that: (i) Forescout was experiencing significant volatility with respect to large deals and issues related to the timing and execution of deals in the Company’s pipeline, especially in Europe, the Middle East, and Africa (“EMEA”); (ii) the foregoing was reasonably likely to have a material negative impact on the Company’s financial results; and (iii) as a result, the Company’s public statements were materially false and misleading at all relevant times.

On March 23, 2020, the Court issued an Order appointing Lead Plaintiff and Counsel. Lead Plaintiff filed an amended Complaint on May 22. On July 22, the Court issued an Order consolidating cases and vacating the Lead Plaintiff appointment. The Court issued an Order appointing Co-Lead Plaintiffs on November 19. Co-Lead Plaintiffs

filed a consolidated amended Complaint on December 18. Defendants filed Motions to Dismiss the consolidated amended Complaint on January 29, 2021.

On March 25, 2021, the Court issued an Order granting Defendants' Motions to Dismiss. Plaintiffs were given leave to amend the Complaint. On May 10, Lead Plaintiffs filed a second consolidated amended Complaint. Defendants filed a Motion to Dismiss the second consolidated amended Complaint on June 24. On October 6, the Court issued an Order granting Defendants' Motion to Dismiss. The case was dismissed with prejudice. On November 1, Lead Plaintiffs filed a notice appealing the Court's Dismissal Order.

On March 16, 2023, the Court of Appeals affirmed in part and reversed in part the District Court's Dismissal Order and remanded the case to the District Court for further proceedings.

Lead Plaintiff filed a Motion for Class Certification on October 31, 2023. On May 28, 2024, the Court issued an Order granting the Motion for Class Certification.
