According to the Complaint, Pattern Energy Group Inc. is an independent power company.

Plaintiff brings this class action on behalf of the public stockholders of Pattern Energy Group Inc. against Pattern’s Board of Directors for their violations of Sections 14(a) and 20(a) of the Securities Exchange Act of 1934, arising out of the Board’s attempt to merge Pattern into Defendant Canada Pension Plan Investment Board, cashing out all of the common stock of Pattern and delisting Pattern from the NASDAQ.

The Complaint alleges that on December 13, 2019, Defendants caused a materially incomplete and misleading preliminary Proxy Statement to be filed with the United States Securities and Exchange Commission.

This case was voluntarily dismissed on March 11, 2020. A related case continues under Docket 20-CV-00275.

On March 23, the Court issued an Order appointing Lead Plaintiff and Counsel. Lead Plaintiff filed a consolidated amended Complaint on May 22. Defendants filed a Motion to Dismiss the consolidated amended Complaint on July 21. On February 26, 2021, the Court issued an Order granting Defendants' Motion to Dismiss. The case was dismissed without prejudice.

Plaintiffs filed a second consolidated amended Complaint on March 29, 2021. Defendants filed a Motion to Dismiss the second consolidated amended Complaint on April 30. On March 30, 2022, the Court issued an Order granting in part and denying in part Defendants' Motion to Dismiss.

Lead Plaintiff filed a Motion for Class Certification on May 5, 2022. On March 27, 2023, the Court issued an Order granting the Class Certification Motion.

The parties, on behalf of the Chancery Class, Federal Class, and Defendants, entered into a Stipulation and Agreement of Settlement on December 6, 2023, subject to the approval of the Court of Chancery.
