According to the Complaint, AmeriGas Partners, L.P. is the largest retail propane distributor in the United States based on the volume of propane gallons distributed annually. The Partnership serves over 1.7 million residential, commercial, industrial, agricultural, wholesale, and motor fuel customers in all fifty states from approximately 1,900 propane distribution locations.

This action stems from a proposed transaction announced on April 2, 2019, pursuant to which AmeriGas Partners, L.P. will be acquired by UGI Corporation.

On April 1, 2019, the Board of Directors of AmeriGas Propane, Inc., which manages AmeriGas, caused AmeriGas to enter into an agreement and plan of merger.

On May 6, 2019, Defendants filed a registration statement with the United States Securities and Exchange Commission in connection with the Proposed Transaction. The Complaint alleges that the Registration Statement omits material information with respect to the Proposed Transaction, which renders the Registration Statement false and misleading.

This case was voluntarily dismissed on August 21, 2019.
