On March 11, 2019, the Company announced it would be acquired by NVIDIA International Holdings Inc. in a transaction valued at $6.9 billion.

On April 22, 2019, Defendants filed a preliminary proxy statement with the United States Securities and Exchange Commission in connection with the Proposed Transaction. The Complaint alleges that the Preliminary Proxy Statement omits material information with respect to the Proposed Transaction, which renders it false and misleading.

This case was voluntarily dismissed on October 3, 2019.
