On February 5, 2019, SXCP and SunCoke issued a joint press release announcing the proposed merger between SXCP and SunCoke Energy, Inc.
The Complaint alleges that on March 8, 2019, in order to convince SXCP unitholders to vote in favor of the proposed merger, the Board authorized the filing of a materially incomplete and misleading Form S-4 Registration Statement with the Securities and Exchange Commission, in violation of Sections 14(a) and 20(a) of the Exchange Act.
Plaintiff filed an amended Complaint on May 31, 2019. On July 31, the Court issued an Order consolidating cases and appointing Lead Plaintiff and Counsel.
