According to the Complaint, SunCoke Energy Partners, L.P. ("SXCP" or the "Company") is a Master Limited Partnership that primarily produces coke used for the blast furnace production of steel in the United States.

On February 5, 2019, SXCP and SunCoke issued a joint press release announcing the proposed merger between SXCP and SunCoke Energy, Inc.

The Complaint alleges that on March 8, 2019, in order to convince SXCP unitholders to vote in favor of the proposed merger, the Board authorized the filing of a materially incomplete and misleading Form S-4 Registration Statement with the Securities and Exchange Commission, in violation of Sections 14(a) and 20(a) of the Exchange Act.

Plaintiff filed an amended Complaint on May 31, 2019. On July 31, the Court issued an Order consolidating cases and appointing Lead Plaintiff and Counsel. Lead Plaintiff filed a consolidated Complaint on September 17. Defendants filed a Motion to Dismiss the consolidated Complaint on November 1. On September 9, 2020, the Court issued an Order granting Defendants' Motion to Dismiss. On October 9, Lead Plaintiff filed a notice appealing the Court's Dismissal Order. The Court of Appeals affirmed the District Court's Dismissal Order on September 22, 2021.
