According to the Complaint, Eventbrite, Inc. purportedly provides a platform to enable creators to plan, promote, and
produce live events.
The Complaint alleges that throughout the Class Period, Defendants made false and/or misleading statements, as well as failed to disclose material adverse facts about the Company’s business, operations, and prospects. Specifically, the Complaint alleges Defendants made false and/or misleading statements and/or failed to disclose: (1) that the Company’s migration of customers from Ticketfly to Eventbrite was progressing slower than expected; (2) that, as a result, the Ticketfly integration would take longer than expected; (3) that, as a result, the Company’s revenue and growth would be negatively impacted; and (4) that, as a result of the foregoing, Defendants’ positive statements about the Company’s business, operations, and prospects were materially misleading and/or lacked a reasonable basis.
On August 22, 2019, the Court issued an Order consolidating cases and appointing Lead Plaintiff and Counsel. All future docketing was ordered to be done in the lead case 19-CV-02019.
Lead Plaintiff filed an amended Complaint on October 11. Defendants filed a Motion to Dismiss the amended Complaint on December 11. On April 28, 2020, the Court issued an Order granting Defendants' Motion to Dismiss. Plaintiffs were given leave to amend the Complaint.
On July 29, 2020, the parties entered into a Stipulation and Agreement of Settlement. On January 22, 2021, the Court issued an Order denying preliminary approval of the Settlement pending a ruling in San Mateo County Superior Court.
On June 10, 2022, the Court in the State Court Action held a final settlement approval hearing and issued a Judgment and Order granting final approval of the class action Settlement. The parties in the District Court voluntarily dismissed the case in the District Court on June 24.
