According to the Complaint, Civitas is the leading national provider of home- and community-based health and human services to must-serve individuals with intellectual, developmental, physical, or behavioral disabilities and other special needs.

This action stems from a proposed transaction announced on December 18, 2018 (the “Proposed Transaction”), pursuant to which Civitas Solutions, Inc. (“Civitas” or the “Company”) will be acquired by funds advised by Centerbridge Partners, L.P. On February 14, 2019, Defendants filed a proxy statement (the “Proxy Statement”)
with the United States Securities and Exchange Commission (the “SEC”) in connection with the Proposed Transaction. The Complaint alleges that the Proxy Statement, which scheduled a stockholder vote on the Proposed Transaction for March 7, 2019, omits material information with respect to the Proposed Transaction, which renders the Proxy Statement false and misleading.

This case was voluntarily dismissed on May 7, 2019.
