According to the Complaint, Inuvo, Inc. is an Internet advertising technology and digital publishing company.

On November 2, 2018, Inuvo and ConversionPoint Technologies, Inc. ("CPT") entered into an Agreement and Plan of Merger. On December 17, Inuvo and CPT issued a joint press release announcing the Proposed Transaction.

The Complaint alleges that on December 17, 2018, in order to convince Inuvo’s public common stockholders to vote in favor of the Proposed Transaction, Defendants filed a materially incomplete and misleading Form S-4 Registration Statement with the SEC, in violation of Sections 14(a) and 20(a) of the Exchange Act.

This case was voluntarily dismissed on June 21, 2019.
