According to the Complaint, Nevada Gold & Casinos, Inc. ("Nevada Gold") is a gaming company involved in financing, developing, owning, and operating gaming properties and projects.

On September 18, 2018, Nevada Gold issued a press release to announce the Proposed Merger between Nevada Gold and Maverick Casinos LLC.

The Complaint alleges that on December 3, 2018, the Board authorized the filing of a materially incomplete and misleading preliminary Proxy Statement with the Securities and Exchange Commission, in violation of Sections 14(a) and 20(a) of the Exchange Act, that recommends shareholders vote in favor of the Proposed Merger.

This case was voluntarily dismissed on February 15, 2019.
