According to the Complaint, ConvergeOne Holdings, Inc. ("ConvergeOne") is a leading global IT services provider of collaboration and technology solutions for large and medium enterprises with decades of experience assisting customers to transform their digital infrastructure and realize a return on investment.

This action stems from a Proposed Transaction announced on November 6, 2018, pursuant to which ConvergeOne will be acquired by affiliates of CVC Fund VII.

On November 21, 2018, Defendants filed a Solicitation/Recommendation Statement with the United States Securities and Exchange Commission in connection with the Proposed Transaction. The Complaint alleges that the Solicitation Statement omits material information with respect to the Proposed Transaction, which renders the Solicitation Statement false and misleading.

This case was voluntarily dismissed as moot on March 6, 2019.
