According to the Complaint, Datawatch Corporation is a data intelligence provider with market leading enterprise data preparation, predictive analytics, and visualization solutions that fuel business analytics.

This action stems from a Proposed Transaction announced on November 5, 2018, pursuant to which Datawatch will be acquired by Altair Engineering Inc.

On November 14, 2018, Defendants filed a Solicitation/Recommendation Statement (the “Solicitation Statement”) with the United States Securities and Exchange Commission in connection with the Proposed Transaction.

The Complaint alleges that the Solicitation Statement omits material information with respect to the Proposed
Transaction, which renders the Solicitation Statement false and misleading.

This case was voluntarily dismissed on January 14, 2019.
