According to the Complaint, Corium International, Inc. ("Corium") is a commercial-stage biopharmaceutical company focused on the development, manufacture and commercialization of specialty pharmaceutical products.

On October 11, 2018, Corium announced that it had entered into the Agreement and Plan of Merger (the “Merger Agreement”) with Gurnet Point Capital ("Gurnet"), whereby Gurnet would acquire Corium in a two-step merger, with the Company surviving the Proposed Transaction as an indirect, wholly owned subsidiary of Gurnet.

The Complaint alleges that on October 26, 2018, the Board authorized the filing of a materially incomplete and misleading 14D-9. Specifically, the Complaint alleges Defendants have failed to disclose certain material information necessary for Corium stockholders to properly assess the fairness of the Proposed Transaction, thereby violating SEC rules and regulations and rendering certain statements in the 14D-9 materially incomplete and misleading.

This case was voluntarily dismissed on November 28, 2018.
