This action stems from a Proposed Transaction announced on May 21, 2018, pursuant to which MB Financial, Inc. will be acquired by Fifth Third Bancorp.

On August 3, 2018, Defendants filed a proxy statement/prospectus (the "Prospectus") with the United States Securities and Exchange Commission in connection with the Proposed Transaction.

The Complaint alleges that the Prospectus omits material information with respect to the Proposed Transaction, which renders the Prospectus false and misleading.

On September 24, 2018, this case was voluntarily dismissed as moot.
