ILG, Inc. is a leading provider of professionally delivered vacation experiences and the exclusive global licensee for the Hyatt®, Sheraton®, and Westin® brands in vacation ownership.

This action stems from a Proposed Transaction announced on April 30, 2018, pursuant to which ILG will be acquired by Marriott Vacations Worldwide Corporation and its affiliates.

On June 7, 2018, Defendants filed a Registration Statement with the United States Securities and Exchange Commission in connection with the Proposed Transaction.

The Complaint alleges that the Registration Statement omits material information with respect to the Proposed
Transaction, which renders the Registration Statement false and misleading.

This case was voluntarily dismissed on August 28, 2018.
