DCT Industrial Trust Inc. ("DCT" or the "Company") is a leading industrial real estate company specializing in the ownership, acquisition, development, leasing, and management of bulk-distribution and light-industrial properties located in high-demand distribution markets in the United States. This action stems from a proposed transaction announced on April 29, 2018 (the “Proposed Transaction”), pursuant to which DCT and its controlled entity, DCT Industrial Operating Partnership LP (“DCT OP”), will be acquired by Prologis, Inc. (“Prologis”) and its controlled entity, Prologis, L.P. (“Prologis OP”).
On June 8, 2018, Defendants filed a Form S-4 Registration Statement (the “Registration Statement”) with the United States Securities and Exchange Commission (“SEC”) in connection with the Proposed Transaction.
The Complaint alleges that the Registration Statement omits material information with respect to the Proposed
Transaction, which renders the Registration Statement false and misleading.
This case was voluntarily dismissed on August 27, 2018.
