According to the Complaint, CommerceHub, Inc. provides cloud-based technology and services, including a cloud-based e-commerce fulfillment and marketing software platform. The Company serves large retailers, online marketplaces, digital marketing channels, consumer brands, manufacturers, and distributors.

On March 6, 2018, the Company announced the Proposed Merger between CommerceHub and certain affiliates of GTCR LLC and Sycamore Partners Management, L.P.

The Complaint alleges that on April 18, 2018, in order to convince CommerceHub shareholders to vote in favor of the Proposed Merger, the Board authorized the filing of a materially incomplete and misleading Definitive Proxy Statement on Schedule 14A with the Securities and Exchange Commission, in violation of Sections 14(a) and 20(a) of the Exchange Act.
