EMC Corporation is a multinational provider of products and services related to cloud computing, storage, big data, data analytics, and information security.

According to the Complaint, on October 12, 2015, the Board caused EMC to enter into an agreement and plan of merger (the “Merger Agreement”).

The Complaint alleges that the Proposed Transaction is the product of a flawed process and deprives EMC’s public stockholders of the ability to participate in the Company’s long-term prospects. In approving the Merger Agreement, the Individual Defendants breached their fiduciary duties to Plaintiff and the Class.

On April 26, 2016, the Court issued an Order consolidating cases and appointing Lead Plaintiff and Counsel.

This case was voluntarily dismissed on October 26, 2016.
