According to the Complaint, on August 17, 2015, zulily and Liberty jointly announced that they had reached a definitive Agreement and Plan of Reorganization (“Reorganization Agreement”) pursuant to which Purchaser will commence an exchange offer (the “Tender Offer”) to acquire all of zulily’s outstanding common stock for consideration
The Complaint alleges that on September 1, 2015, members of the Board of Directors of Zulily violated Sections of the Exchange Act by causing a materially incomplete and misleading Schedule 14D-9 Solicitation/Recommendation Statement (“Recommendation Statement”) to be filed with the SEC.
On November 12, 2015, the Court issued an Order consolidating cases. The Consolidated Cases shall be identified as "In re Zulily, Inc. Litigation."
On October 26, 2017, the parties entered into a Stipulation of Settlement. Preliminary approval was granted on October 30. On March 6, 2018, the Court granted final approval of the Settlement and entered Final Judgment.
