MaxPoint Interactive, Inc. ("MaxPoint") is a digital advertising company that helps retailers and brands increase in-store traffic.

According to the Complaint, on August 27, 2017, MaxPoint's Board of Directors caused the Company to enter into an agreement and plan of merger with Valassis Communications, Inc. and its affiliates.

On September 11, 2017, Defendants filed a Solicitation/Recommendation Statement (the "Solicitation Statement") with the United States Securities and Exchange Commission in connection with the Proposed Transaction. The Complaint alleges the Solicitation Statement omits material information with respect to the Proposed Transaction, which renders the Solicitation Statement false and misleading.

Plaintiff filed an Amended Complaint on September 15.

This case was voluntarily dismissed as moot on December 21, 2017.
