State National Companies, Inc., is an American provider of property and casualty insurance operating in two niche markets, Program Services and Lender Services.

According to the Complaint, on July 26, 2017, State National’s Board of Directors caused the Company to enter into an agreement and plan of merger with Markel.

On August 29, 2017, Defendants filed a Preliminary Proxy Statement with the United States Securities and Exchange Commission in connection with the Proposed Transaction. The Complaint alleges that the Proxy Statement omits material information with respect to the Proposed Transaction, which renders the Proxy Statement false and misleading.

This case was voluntarily dismissed as moot on December 7, 2017.
