Rocket Fuel Inc. is an ad technology company based in Redwood City, California.

According to the Complaint, on July 18, 2017, Rocket Fuel issued a press release announcing that it had entered into an Agreement and Plan of Merger to sell Rocket Fuel to Sizmek.

On August 2, 2017, Rocket Fuel filed a Solicitation/Recommendation Statement on Schedule 14D-9 with the SEC. The Complaint alleges the Recommendation Statement, which recommends that Rocket Fuel stockholders tender their shares in favor of the Proposed Transaction, omits or misrepresents material information concerning, among other things: (i) the data and inputs underlying the financial valuation analyses that support the fairness opinion provided by the Company’s financial advisor, Needham & Company, LLC; and (ii) Rocket Fuel insiders’ potential conflicts of interest.

On September 21, 2017, pursuant to a Stipulation by the Parties, the Court dismissed this case.
