ARI Network Services, Inc. ("ARI") makes and sells software for creating electronic catalogs and e-commerce websites in industries such as outdoor power equipment, power sports, motorcycles, marine, and agricultural equipment.

According to the Complaint, On June 21, 2017, ARI issued a press release announcing that they had entered into an Agreement and Plan of Merger dated June 20, 2017, pursuant to which True Wind’s affiliates True Wind Capital, L.P. and Expedition Holdings LLC (“Parent”), through Parent’s wholly-owned subsidiary, Expedition Merger Sub, Inc. would acquire all of the outstanding shares of ARI in an all-cash transaction (the “Proposed Transaction”).

The Complaint alleges on July 17, 2017, Defendants issued materially incomplete and misleading disclosures in the Form PREM14A Preliminary Proxy Statement, filed with the SEC in connection with the Proposed Transaction.

Pursuant to a Notice by Plaintiff, this case was voluntarily dismissed on August 22, 2017.
