DuPont Fabros Technology, Inc. is a real estate investment trust that invests in carrier-neutral data centers and provided colocation and peering services.

According to the Complaint, on June 8, 2017, DuPont’s Board of Directors caused the Company to enter into an agreement and plan of merger with Digital Realty.

On July 10, 2017, Defendants filed a Form S-4 Registration Statement with the United States Securities and Exchange Commission in connection with the Proposed Transaction. The Complaint alleges the Registration Statement omits material information with respect to the Proposed Transaction, which renders the Registration Statement false and misleading.

On August 28, 2017, the Court entered an Order consolidating cases. 17cv1465 was designated as the lead case.

On December 11, 2017, pursuant to the September 22, 2017 Stipulation by the Parties, the Court dismissed this case.
