EnerNOC, Inc.is a provider of cloud-based energy intelligence software and services to enterprise customers and utilities globally.

According to the Complaint, on June 22, 2017, EnerNOC issued a press release announcing that they had entered into an Agreement and Plan of Merger dated June 21, 2017, by which Enel SpA’s subsidiary, Enel Green Power North America, Inc. (“Parent”), through Parent’s wholly-owned subsidiary, Pine Merger Sub, Inc. would commence a Tender Offer to acquire all of the outstanding shares of EnerNOC common stock for $7.67 per share in cash.

In connection with the commencement of the Tender Offer, on July 10, 2017, the Company filed a Recommendation Statement on a Schedule 14D-9 with the SEC. The Complaint alleges the Recommendation Statement is materially incomplete and misleading because it fails to disclose material information about the facts and circumstances that led up to the Proposed Transaction.

On August 22, 2017, Plaintiff filed a Notice voluntarily dismissing this action. The Court granted an Order closing and terminating the actions on September 27.
