According to the Complaint, on January 30, 2017, the Royal Bancshares Board of Directors (the "Board" or the "Individual Defendants") caused the Company to enter into a definitive agreement and plan of merger ("Merger Agreement") with Bryn Mawr.
On March 29. 2017. defendants filed a Form S-4 Registration Statement (the "Registration Statement") with the United States Securities and Exchange Commission ("SEC") in connection with the Proposed Transaction. The Complaint alleges the Registration Statement recommends that RBPI stockholders vote in favor of the Proposed Transaction. but omits or misrepresents material information that is preventing RBPI's stockholders from making a fully informed decision with respect to the Proposed Transaction.
This case was voluntarily dismissed on September 28, 2017.
