According to the Complaint, on January 4, 2017, Castlight entered into an Agreement and Plan of Merger and Reorganization (“Merger Agreement”) with Jiff, pursuant to which a wholly owned subsidiary of Castlight will merge with and into Jiff, with Jiff surviving as a wholly owned subsidiary of Castlight (the “Proposed Merger”).
The Complaint alleges on February 2, 2017, in order to convince Castlight shareholders to vote in favor of the Proposed Merger, the Board authorized the filing of a materially incomplete and misleading joint proxy statement/prospectus/information statement (“Proxy”) with the Securities and Exchange Commission (“SEC”), in violation of Sections 14(a) and 20(a) of the Exchange Act.
This case was voluntarily dismissed on March 17, 2017.
