Columbia Pipeline Group, Inc. ("CPG") is an American company that owns, operates and develops natural gas pipelines, storage, and related midstream assets.

According to the Complaint, on March 18, 2016, the Company filed a Form 8-K with the Securities and Exchange Commission announcing that it had entered into a Definitive Merger Agreement, dated March 17, 2016, pursuant to which TransCanada will acquire CPG.

The Complaint alleges the proposed acquisition of CPG is at a grossly inadequate price, by means of an unfair process, and without adequate information provided to CPG stockholders.

This case was voluntarily dismissed on September 9, 2016.
