According to the Complaint, on March 18, 2016, the Company filed a Form 8-K with the Securities and Exchange Commission (“SEC”) announcing that it had entered into a Definitive Merger Agreement, dated March 17, 2016 (the “Merger Agreement”), pursuant to which TransCanada will acquire CPG.
The Complaint alleges the proposed acquisition of CPG is at a grossly inadequate price, by means of an unfair process, and without adequate information provided to CPG stockholders.
