According to a law firm press release, the Complaint alleges that the Board of Directors of Sizmek breached their fiduciary duties by causing a materially incomplete and misleading Recommendation Statement to be filed with the SEC. The Complaint further alleges that the merger consideration Sizmek stockholders will receive in connection with the transaction does not reflect the fair value of Sizmek shares.

An amended Complaint was filed on November 30, 2016.

This case was voluntarily dismissed on March 30, 2017.
