Westland Development Company, Inc. ("Westland" or the Company) is a real estate development company that operates primarily in the western United States.

According to the Complaint, this action is brought against Westland, certain of its senior officers and directors and its merger partner SunCal arising out of Defendants' dissemination of a false and misleading proxy statement in violation of §§14(a) and 20(a) of the Securities and Exchange Act of 1934, and Securities and Exchange Commission Rule 14a-9 promulgated thereunder.

On November 11, 2011, the parties entered into a Stipulation of Settlement. The Settlement was preliminarily approved by the Court on December 19. On May 22, 2012, the Court granted final approval of the Settlement and dismissed this case with prejudice.
