comScore, Inc. is an American media measurement and analytics company providing marketing data and analytics to enterprises, media and advertising agencies, and publishers.

According to the law firm press release, the Complaint charges comScore and certain of its officers with violations of the federal securities laws. Specifically, the Complaint alleges that Defendants made false and/or misleading statements and/or failed to disclose: (1) that the Company’s accounting practices were not in compliance with applicable SEC regulations; (2) that the Company lacked adequate internal controls over accounting; (3) that, as such, the Company would be unable to file its Form 10-K for the fiscal year ended December 31, 2015 in a timely manner; and (4) that, as a result of the foregoing, the Company’s financial statements, as well as Defendants’ statements about comScore’s business, operations, and prospects were false and misleading and/or lacked a reasonable basis.

On July 19, 2016, the Court issued an Order appointing Lead Plaintiff and Lead Counsel. Lead Plaintiffs filed a consolidated complaint on October 19.

The parties entered into a Stipulation of Settlement on December 28, 2017. On January 29, 2018, the Court preliminarily approved the Settlement. On June 7, the Court granted final approval of the Settlement and entered Final Judgment. On April 30, 2019, the Court issued an Order approving the Settlement distribution plan.
