CFS Bancorp, Inc. is the bank holding company for Citizens Financial Bank in Indiana.

According to the law firm press release, the Complaint alleges, among other things, that CFS Bancorp and the members of its board of directors violated Sections 14(a) and 20(a) of the Securities Exchange Act of 1934 and Rule 14a-9, as promulgated by the U.S. Securities and Exchange Commission. More specifically, the Complaint alleges that the Defendants have filed proxy solicitation materials with the SEC that misrepresent or omit material information regarding First Merchants Corporation's proposed acquisition of CFS Bancorp.

On December 9, 2013, this case was dismissed with prejudice pursuant to Rule 41(a)(1)(A)(i) of the Federal Rules of Civil Procedure.
