On January 19, 2010, a Notice of Removal was filed in District Court about this action arising out of the Company's attempt to sell the Company to Defendants IXYS Corporation and Zanzibar Acquisition, Inc. (the "Proposed Transaction") by means of an unfair process and for an unfair price of $3.58 per share in cash for each share of ZiLOG common stock and have attempted to solicit shareholder proxies in support of the Proposed Transaction with a proxy that contains materially misleading information and omissions of material fact.

On March 04, 2010, Stipulation and Order Dismissing Case was issued by the Court in this matter.
