Hewlett-Packard Company provides products, technologies, software, solutions and services to individual consumers and small- and medium-sized businesses, as well as to the U.S. government, and health and education sectors around the globe.

According to a Complaint filed on August 18, 2010, on August 6, 2010, the Company and Hurd entered into a Separation Agreement and Release, and the Board granted him a severance award with a total value of approximately $53 million. This excessive severance award was a waste of Company assets because the Board, after an investigation of Hurd's alleged misconduct, could have, and should have, terminated Hurd's employment "for cause" as a result of his admitted violations of the Company's Standards of Business Conduct.

On November 1, 2010, the Court issued an Order consolidating cases; appointing co-lead Class Plaintiffs and co-lead Class Counsel in this action. On December 3, 2010, the Plaintiffs filed a Consolidated Verified Shareholder Derivative Complaint.

On August 21, 2012, the Defendants' motions to dismiss for failure to state a claim pursuant to Rule 12(b)(6) and Rule 23.1 were granted with leave to amend allowing the Plaintiffs to file an amended Complaint within 30 days of the Order.

On May 6, 2013, the Court granted the Defendants' motions to dismiss the Second Amended Complaint, denied the Plaintiff's motion for leave to amend, and denied the Plaintiff's motion to strike Defendants' requests for judicial notice.

On May 6, 2013, the Court ordered that the Judgment is entered in favor of the Defendants.
