Emmis Communications Corporation is an American media company that owns primarily radio and television stations.

According to the Complaint filed on June 18, 2010, the allegations arise out of breaches of fiduciary duty and securities law incident to the company's merger which attempted to take the company private.

A similar class action Complaint was also filed in the U.S. District Court for the Southern District of New York. This action was later transferred to the Southern District of Indiana.

On October 25, 2010, the Defendants filed a Stipulation of Dismissal without prejudice. According to the Stipulation, it is hereby stipulated and agreed, by and between the undersigned attorneys for Plaintiff and Defendants, that the above captioned actions and all claims therein be and hereby are discontinued without prejudice and without costs to any party.
