According to the Complaint filed April 12, 2010, the Defendants and its Board of Directors committed breaches of fiduciary duty and other violations of state law arising out a proposed transaction to acquire all the outstanding shares of Defendant through a cash tender offer by means of an unfair process and for an unfair price of $5.00 per share.

On June 23, 2010, the Court issued an order staying this action without prejudice to the rights, claims or defenses of any party.

On December 1, 2011, the Court issued an Order directing the Court to administratively close this case. Any party may file a motion to reopen this matter should a change in circumstances warrant it.
