The original complaint alleges that CSFB violated section 10(b) of the Securities Exchange Act, and Rule 10b-5 promulgated thereunder, by rating Synopsys a "Strong Buy" and issuing favorable research reports that were materially false or misleading because the rating did not reflect the good faith beliefs of the analyst who issued the reports and because they failed to disclose conflicts of interest of Credit Suisse, and in particular the practice of Credit Suisse to gain lucrative investment banking business by providing coverage and issuing favorable research reports on existing or prospective investment banking customers. The Securities and Exchange Commission filed a complaint against CSFB that charged CSFB with issuing fraudulent research reports on Synopsys.
