The action alleges misrepresentations and omissions to state facts in connection with the sale of securities in violation of Rule 10b-5, 15 USC Section 78j(b); a scheme to defraud in connection with the sale of securities, in violation of Rule 10b-5, 15 U.S.C. Section 78j(b); and unfair business practices, in violation of California Business & Professions Code Section 17200, et seq., and California common law prohibiting unfair competition, in a conspiracy to defraud BFF and embezzle BFF's rights to the Technology and its other assets.
