According to the Judgment entered on March 31, 2000, for the reasons stated in the Court's Opinion on March 28, 2000, the defendants' motions to dismiss is granted and the amended complaint is dismissed with prejudice as to all defendants. Plaintiffs' request for leave to amend the amended complaint is denied. The case is closed.

The complaint alleges that certain officers, directors and controlling shareholders of the Company violated Sections 11, 12(a)(2) and 15 of the Securities Act of 1933 by, among other things, misrepresenting and/or omitting material information concerning PRT's business and operations in the registration statement and prospectus issued in connection with PRT's initial public offering conducted on or around November 21, 1997.
