The complaint charges that Defendants violated Section 14(a) of the Securities and Exchange Act of 1934 (the "1934 Act") by making misstatements of material fact in a Pan Am Corp. proxy statement dated Sept. 5, 1997 (the "Proxy"). The Proxy was employed in connection with a shareholder vote held at the Sept. 26, 1997 Pan Am shareholders' meeting to approve a merger between Carnival Air and a wholly owned subsidiary of Pan Am (the "Merger").
