On September 10, 2002, the Court entered an Order and Final Judgment approving the settlement. The case was closed. Earlier, on May 1, 2002, the court entered a Stipulation and Agreement of Settlement by all Plaintiffs and the Defendants, Windmere-Durable, Nationsbanc, and certain Individual Defendants.

A Stipulation and Order was entered on January 7, 1999, transferring the case to the Southern District of Florida.

According to a Press Release dated October 8, 1998, the compalint charges that the Company allegedly promoted the Offering through false and misleading statements relating to the financial condition and prospects of Windmere's Household Products Group, which had recently been acquired for $315 million from the Black & Decker Corporation. On September 23, 1998 Windmere disclosed the true financial condition of the Household Products Group and stated that sales would be $30 to $40 million less than had been forecasted. After this disclosure, the Company's common stock plummeted by more than 50 percent.
