The Complaint alleges that in its initial public offering commenced on December 5, 1996, WebSecure filed a Registration Statement with the SEC that contained false and misleading information and omitted to disclose material facts concerning software technology acquired by WebSecure, WebSecure's revenues from the sale of software, and Centennial, which is identified in the Registration Statement as a related party.
