According to the docket dated 12/07/2000, on 09/14/1999 the court filed an Order of Final Approval of Settlement and Final Judgment of Dismissal. The class Plaintiffs and Settling Defendants are directed to execute and implement all the terms and provisions of the Agreements. The case is closed.

The original Complaint alleges violations by all defendants of sections 11 and 15 of the Securities Act of 1933, violations by the defendants Coburn and Meredith and Shamrock Partners of section 12(2) of the Securities Act of 1933, and violations of section 10(b) of the Securities Exchange Act of 1994 by the defendants WebSecure and two of its officers. The Complaint alleges that in its initial public offering commenced on December 5, 1996, WebSecure filed a Registration Statement with the SEC that contained false and misleading information and omitted to disclose material facts concerning software technology acquired by WebSecure, WebSecure's revenues from the sale of software, and Centennial, which is identified in the Registration Statement as a related party.
