According to the docket, on January 31, 2000, U.S. District Judge Harold Baer Jr. issued an Amended Memorandum and Order dismissing the consolidated amended complaint with prejudice. On March 3, 2000, the Second Circuit Court of Appeals affirmed the decision of the District Court. The case is closed.

Previously, on May 24, 1999, U.S. District Judge Harold Baer Jr. issued a Memorandum and Order granting the motion for judgment dismissing the complaint in its entirety for failure to state a claim upon which relief may be granted. The plaintiff's complaint was dismissed with prejudice. On June 22, 1999, a Notice of Appeal was filed by the plaintiffs.

The original Complaint alleges that N2K and certain of its officers and directors violated Sections 11 and 15 of the Securities Act in connection with, among other things, the dissemination of a materially false and misleading Registration Statement and Prospectus issued in connection with the Offering. Plaintiff alleges that the Registration Statement was materially false and misleading because, among other things, it failed to disclose N2K's financial results for the first quarter ended March 31, 1998.
